What Does a Compliant Offshore Mandate Actually Include?

Pixelzmint offers four integrated service lines — structuring, banking, advisory, and compliance — delivered as a coordinated mandate, not a menu of disconnected products.

Structuring: Choosing the Right Vehicle for the Right Jurisdiction

An offshore structure is only as strong as the legal and economic substance underlying it.

Pixelzmint evaluates each client's asset profile, residency, and cross-border income flows before recommending a corporate or trust vehicle. We work with licensed Corporate Service Providers in Mauritius (GBC and Authorised Company), the BVI (Business Company), and the UAE (DIFC and ADGM freezone entities). Each structure is accompanied by a substance memo that confirms director residency requirements, local expenditure commitments, and the economic activity expected by the jurisdiction's regulator. We do not sell shelf companies or pre-built structures; every mandate is engineered from the client's actual circumstances. Typical delivery time from engagement to fully incorporated structure: eight to fourteen weeks, depending on banking and beneficial ownership registration timelines.

Banking: Institutional Access With a Complete KYC Dossier

Successful account opening depends on the quality of the introduction and the completeness of documentation.

International banks have significantly raised their due diligence thresholds for East African applicants since 2019. Pixelzmint prepares a comprehensive KYC dossier — source-of-wealth narrative, asset schedule, corporate structure chart, regulatory certificates, and reference letters — tailored to each bank's internal compliance template. We submit through our introducer relationships and manage the bank's follow-up queries on your behalf, typically reducing account-opening timelines from six-plus months to eight to twelve weeks. We work with correspondent-banking-eligible institutions in Mauritius, Jersey, Dubai, and Singapore. We do not guarantee account approval; final decisions rest with the bank's compliance committee, and we are transparent about rejection rates and alternative options.

Compliance: Ongoing Obligations Do Not Manage Themselves

Filing deadlines, substance requirements, and information exchange obligations are annual and recurring.

Once a structure is in place, the compliance calendar begins. Pixelzmint offers annual maintenance retainers that cover: CRS/FATCA self-certification renewals, beneficial ownership register updates, economic substance declaration filings, registered agent renewal coordination, and annual return filings in the jurisdiction of incorporation. For clients with Kenyan-sourced income flowing through offshore structures, we coordinate with local tax advocates to ensure domestic disclosure obligations are met in parallel. Retainer pricing is fixed per structure per year, quoted in advance at engagement and reviewed annually. Late filing penalties in Mauritius and the BVI are material; clients on retainer have not incurred a single penalty since 2020.

Advisory Services: When the Answer Is Not a Product

Some client needs require analysis and a written opinion, not an incorporated entity.

Jurisdiction Comparison Reports

A structured written comparison of two or three jurisdictions across tax treatment, substance requirements, banking availability, and annual costs — delivered within fifteen business days of instruction.

Succession & Estate Planning

Cross-border succession requires coordination of Kenyan succession law, the offshore jurisdiction's trust or foundation rules, and the domicile of your beneficiaries. We map the interaction and identify gaps before they become disputes.

Exit Strategy Advisory

Winding down an offshore structure carries tax and regulatory consequences in both the offshore jurisdiction and Kenya. We model the exit before you instruct liquidation, ensuring capital repatriation is documented and declared correctly.

“Pixelzmint prepared our BVI holding company documentation and coordinated the Mauritius bank account opening simultaneously. The compliance memo they produced was detailed enough that our Nairobi tax advocates could opine on it directly. We were operational in eleven weeks — considerably faster than a colleague who used a different adviser and waited nine months.”
